These Terms & Conditions ("Terms") govern access to and use of crew.inc ("Crew", "we", "our", "us"), including our HRMS platform, related websites, mobile applications, and connected product modules. By using our services, you agree to these Terms.
1. Eligibility and Account Access
Services are intended for authorized business users and organizations. You are responsible for maintaining secure account credentials and for all activities performed through authorized accounts under your control.
2. Scope of Services
Crew provides software tools for workforce and HR operations, including core HR, attendance, payroll, field tracking, productivity monitoring, and AI-assisted features (see Section 10). Features may vary by plan, configuration, and region.
3. Acceptable Use
You agree not to misuse the services, attempt unauthorized access, interfere with platform performance, upload malicious content, or use the platform in violation of applicable laws, contractual duties, or third-party rights.
4. Customer Data and Responsibilities
You retain responsibility for data submitted to Crew through your account, including ensuring lawful basis for processing and data accuracy. You confirm that you have the rights and permissions needed to provide such data to Crew for service delivery.
5. Workforce Location and Monitoring Features
The platform includes optional features that collect location information from employee devices, including continuous collection during active shifts and on-demand retrieval of a current position. These features are disabled by default and are enabled at the Customer's election.
By enabling them, the Customer represents and warrants that it:
- (a) has a lawful basis under applicable law for collecting location information from its personnel, and will maintain that basis for the duration of use;
- (b) has provided its personnel with notice of the collection, its purposes, its scope (including that collection occurs in the background during active shifts), and the retention applied, and has obtained any consent required by applicable law;
- (c) will use the features only for legitimate workforce-management purposes connected to working time, and will not use them to locate personnel outside active shifts, for purposes unrelated to employment, or in any manner prohibited by applicable law;
- (d) will restrict on-demand location access to appropriately authorized personnel and maintain internal controls over that access; and
- (e) will respond to access, correction, and erasure requests from its personnel in respect of location information, with Crew's reasonable assistance.
Crew acts as a processor in respect of location information and processes it solely on the Customer's documented instructions. The Customer is solely responsible for its use of these features and for compliance with employment, privacy, and surveillance laws applicable to its workforce. Crew provides audit records of on-demand location requests to support the Customer's compliance obligations, but does not monitor or approve how the Customer uses the features.
Crew may suspend access to these features where it reasonably believes they are being used unlawfully.
6. Intellectual Property
Crew and its licensors retain all rights, title, and interest in the platform, software, branding, and related documentation. These Terms do not transfer ownership rights, and no license is granted beyond what is necessary for authorized use of the services.
7. Subscription, Billing, and Trials
Paid access, renewals, and trial terms depend on the applicable commercial agreement or selected plan. Unless otherwise stated in writing, fees are non-refundable and payable according to agreed billing terms.
8. Confidentiality and Security
Both parties agree to protect confidential information disclosed during the relationship. Crew applies reasonable technical and organizational safeguards for platform security; however, no system can be guaranteed to be fully risk-free.
9. Service Availability and Changes
We continuously improve the platform and may modify features, interfaces, and integrations. We may also perform maintenance that can temporarily affect availability, and we will aim to minimize disruption.
10. AI-Assisted Features
The platform and our website may offer AI-assisted features, including Crew AI (in-product configuration help and answers about attendance, leave, and payroll) and a website chat assistant used for pre-sales questions. These features generate responses automatically and may occasionally be incomplete, out of date, or inaccurate. They are provided as a convenience and do not constitute statutory, tax, legal, or professional advice. You are responsible for independently verifying any AI-generated output before relying on it for compliance, payroll, or other business-critical decisions.
11. Disclaimer of Warranties
The services are provided on an "as is" and "as available" basis. To the extent permitted by law, Crew disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and makes no warranty that the services will be uninterrupted, error-free, or fully secure.
12. Limitation of Liability
To the extent permitted by law, Crew is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from use of the services.
13. Indemnity
The Customer will indemnify and hold Crew harmless against claims, demands, proceedings, and associated losses brought by the Customer's personnel or by any regulatory authority arising from the Customer's enabling or use of the workforce location and monitoring features described in Section 5, except to the extent such claims arise from Crew's own breach of these Terms.
14. Termination
Either party may terminate access as provided in the applicable agreement. Crew may suspend or terminate access for material breach, legal requirements, or serious security risk.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of India. The courts at Ahmedabad, Gujarat shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory protections available to personnel under the employment or data protection laws of the jurisdiction in which they are located.
16. Force Majeure
Neither party is liable for delay or failure to perform obligations (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, internet or telecommunications failures, third-party service outages, labor disputes, or government action.
17. General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. These Terms, together with the applicable commercial agreement, constitute the entire agreement between the parties on their subject matter and supersede prior discussions on that subject. Crew may assign these Terms in connection with a merger, acquisition, or sale of assets; the Customer may not assign these Terms without Crew's prior written consent. A party's failure to enforce a provision is not a waiver of its right to do so later.
18. Updates to These Terms
We may revise these Terms from time to time. Continued use of the services after updates become effective constitutes acceptance of the revised Terms.
